These Terms & Conditions (“Terms”) govern your access to and use of the ConstructEther platform
(“Platform”). By creating an account, accessing or using the Platform, you agree to be bound by these Terms.
If you do not agree, you must not use the Platform.
1. Definitions
- “ConstructEther”, “we”, “us”, “our” – the operator and owner of the Platform.
- “User”, “you”, “your” – any individual or organisation using the Platform.
- “Partner” – a User accepted into the ConstructEther Founding Partner or Partner Programmes.
- “Platform” – all ConstructEther services, applications, dashboards, modules and tools.
- “Data” – all information uploaded, generated, imported or exported via the Platform.
- “Sub-User” – users created under your account such as clients, subcontractors or suppliers.
2. Purpose of the Platform
ConstructEther is a digital and AI-assisted system to help manage construction projects, including cost,
quantity, programme, documentation, carbon and contract workflows. It is designed to act as a central
command centre for construction data and collaboration.
The Platform is not a replacement for professional advice, certified design or statutory compliance.
3. AI accuracy & professional verification
The Platform includes AI and automation that can interpret drawings, documents and data, and generate outputs
such as quantities, BoQs, drafts, summaries, risk indicators and reports.
You acknowledge and agree that:
- AI and automated outputs may contain inaccuracies, omissions or misinterpretations.
- All quantities, cost data, calculations and technical outputs must be independently checked and approved by suitably qualified professionals (e.g. QS, Engineer, Architect, PM) before being relied upon.
- The Platform does not create certified engineering calculations, legal documents or guaranteed-compliant reports.
- No output from the Platform should be treated as legal, financial, commercial or technical advice.
By using the Platform, you accept full responsibility for verifying the correctness, suitability and compliance
of all outputs before using them on live projects, tenders, contracts, submissions or construction works.
4. Eligibility & account registration
- You must be at least 18 years old and acting in a professional or business capacity.
- You must provide accurate and complete registration information and keep it up to date.
- You are responsible for keeping your login credentials secure.
5. Subscriptions, Partner fees & payment
Access to ConstructEther may be provided on a subscription basis or under a Partner agreement, according to
the pricing and plans communicated to you.
- Subscription fees are payable in advance in the currency and frequency specified.
- Partner fees (e.g. Self-Build, Pro, Business, Enterprise, Elite Partner levels) are one-off fees and are non-refundable unless explicitly agreed otherwise in writing.
- Lifetime or long-term discounts apply only as described in your specific Partner or subscription agreement.
- We may adjust subscription pricing from time to time, giving reasonable notice.
6. Sub-users (clients, supply chain & other collaborators)
Depending on your tier, your account may include a number of internal users and an additional allocation of
sub-user accounts (e.g. for clients, subcontractors, suppliers) who may access limited parts of the Platform.
- You are responsible for how all sub-users under your account use the Platform.
- Sub-users may have restricted access and may not use AI features or dashboards in the same way as full users.
- Usage of sub-users beyond your tier’s included allocation may be charged at a published per-user monthly fee.
7. Acceptable use
You agree not to:
- Use the Platform for unlawful, fraudulent or harmful purposes.
- Upload any content that is illegal, defamatory, discriminatory or infringes third-party rights.
- Attempt to gain unauthorised access to other users’ data or Platform systems.
- Copy, reverse engineer, decompile or attempt to replicate the Platform’s functionality.
- Use Platform outputs as certified professional work without appropriate verification.
8. Intellectual property
- All software, interfaces, AI models, workflows, designs, branding and content of the Platform are owned by ConstructEther or its licensors.
- You receive a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes, subject to these Terms and any additional commercial agreement.
- You may not resell, sub-licence or commercially exploit the Platform as a separate product without our written consent.
- You retain ownership of the data and content you upload, but grant us a licence to host, process and use it to operate and improve the Platform.
9. Data protection & privacy
Our handling of personal data is described in our Privacy Policy. By using the Platform,
you acknowledge that we will process personal and project data in accordance with that policy.
10. Third-party services & integrations
The Platform may integrate with third-party tools (e.g. storage, finance, communication or BIM platforms).
We are not responsible for the terms, privacy practices or availability of those third-party services.
11. Availability and changes to the Platform
- We aim to provide reliable and secure access but do not guarantee uninterrupted availability.
- We may modify, update or discontinue features or modules at any time to improve the Platform or for technical, legal or commercial reasons.
- Where changes significantly affect your use, we will provide reasonable notice where possible.
12. Limitation of liability
To the fullest extent permitted by law:
- ConstructEther is not liable for any indirect, incidental, consequential, special or punitive damages, including loss of profit, revenue, contracts, data or goodwill.
- ConstructEther is not responsible for construction errors, cost overruns, delays, defects, disputes or regulatory non-compliance arising from the use of Platform outputs.
- Our total aggregate liability in respect of any claim relating to the Platform will not exceed the total fees paid by you to us in the 12 months prior to the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold harmless ConstructEther, its directors, employees and affiliates from and against
any claims, losses, damages, liabilities, costs and expenses arising out of:
- Your use or misuse of the Platform.
- Your reliance on AI or automated outputs without proper verification.
- Any breach of these Terms by you or your sub-users.
- Any violation of laws, regulations or third-party rights in connection with your use of the Platform.
14. Suspension & termination
We may suspend or terminate your access to the Platform if:
- You breach these Terms or any applicable law.
- We reasonably suspect misuse, fraud, or a security risk.
- Required by law or regulatory order.
On termination, your access will cease. We may retain certain data for legal, audit or legitimate business purposes, as described in our Privacy Policy and any separate agreement with you.
15. Changes to these Terms
We may update these Terms from time to time. Where changes are material, we will notify you by reasonable means
(for example, via the Platform or email). Continued use after changes take effect constitutes acceptance of the updated Terms.
16. Governing law & jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims)
are governed by and construed in accordance with the laws of England and Wales.
Exclusive jurisdiction: You agree that the courts of England and Wales shall have exclusive jurisdiction to
settle any dispute or claim arising out of or in connection with these Terms or the use of the Platform, regardless of your location.
17. Global use
The Platform may be accessed by users in different countries. By using the Platform, you agree that these Terms, and any disputes,
remain subject exclusively to the laws and courts of England and Wales, and you waive any right to bring claims in other jurisdictions
so far as permitted by applicable law.
