These Terms govern your access to and use of the ConstructEther platform, website, and services. By accessing or using ConstructEther, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Who we are

ConstructEther Limited is a company registered in England and Wales, company number 17074549, with its registered office at 4 The Rise, Thornton Le Dale, Pickering, YO18 7TG, United Kingdom.

We provide ConstructEther, a construction operating system that runs the commercial and delivery lifecycle of a project in one platform. ConstructEther Limited is the contracting party under these Terms.

Definitions

  • "ConstructEther", "we", "us": ConstructEther Limited, company number 17074549
  • "Platform": the ConstructEther software, systems, tools, and associated services
  • "Services": all features, functionality, and content made available via the Platform
  • "User", "you": any individual or organisation accessing or using the Services
  • "Client Data": all data, documents, and content uploaded or input by users
  • "AI Outputs": any data, recommendations, reports, or content generated by the Platform's AI functionality
  • "Founding Partner": a user or organisation enrolled in the ConstructEther Founding Partner Programme
  • "Agreement": these Terms and Conditions, together with any applicable order form or subscription agreement

Use of the Services

Access to and use of the Platform is subject to the following conditions.

You agree to

  • Use the Services only for lawful business purposes
  • Provide accurate, complete, and up-to-date information
  • Maintain the security and confidentiality of your login credentials
  • Ensure all use complies with applicable laws, regulations, and contractual obligations
  • Notify us promptly of any unauthorised access or suspected breach

You must not

  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Upload unlawful, harmful, infringing, or misleading content
  • Use the Platform in a way that compromises system integrity, security, or availability
  • Resell, sublicense, or otherwise commercially exploit the Services without written consent
  • Use automated tools to scrape, harvest, or extract data from the Platform
Section 04

Nature of the Platform

ConstructEther is designed to support commercial control, improve efficiency, and support better decision making across construction projects. The Platform provides tools across tendering, measurement and bills of quantities, cost management, procurement, document control, and commercial reporting.

The Platform is released in stages. The modules and functionality available to you at any given time are those set out in your applicable order form or subscription agreement. Features described elsewhere as planned or sequenced do not form part of the Services until released and made available to you.

The Platform is provided as a software service and does not constitute professional quantity surveying, legal, financial, or contractual advice. Users remain solely responsible for all project decisions, contractual obligations, and commercial outcomes.

AI Outputs generated by the Platform are drafts and decision support only. They must be reviewed and validated by a qualified professional before being relied upon in any commercial, contractual, or regulatory context. ConstructEther does not certify, warrant, or sign off any measurement, survey, or valuation.

Section 05

Accounts and access

To access the Platform, users must register an account and provide accurate information. You are responsible for all activity carried out under your account.

  • Accounts are non-transferable and may not be shared between individuals unless expressly permitted under a multi-seat licence
  • We reserve the right to suspend or terminate accounts where these Terms are breached
  • You may request account closure at any time by contacting us at [email protected]
  • Upon termination, access to the Platform will cease and data may be deleted in accordance with our Privacy Policy

Subscription and payment

Access to the Platform is provided on a subscription basis. Fees, billing cycles, and plan details are set out in your applicable order form or subscription agreement.

  • All fees are quoted exclusive of VAT unless otherwise stated
  • Subscriptions renew automatically unless cancelled prior to the renewal date
  • Founding Partner pricing is locked for the duration of the founding term as specified in the relevant agreement
  • We reserve the right to update pricing for standard subscriptions with a minimum of 30 days' written notice
  • Fees paid are non-refundable except where required by law or as expressly stated in a separate agreement
Section 07

Intellectual property

All intellectual property rights in the Platform, including its software, design, AI models, methodologies, and content, are owned by or licensed to ConstructEther. Nothing in these Terms transfers any ownership of that IP to the user.

You retain ownership of all Client Data you upload to the Platform. By uploading Client Data, you grant ConstructEther a limited licence to process and store that data solely for the purposes of delivering the Services.

AI Outputs generated using your Client Data are owned by you, subject to any restrictions set out in these Terms or applicable law.

Section 08

Data and privacy

The collection, use, and storage of personal data is governed by our Privacy Policy, which forms part of this Agreement.

By using the Platform, you confirm that you have read and understood our Privacy Policy. If you are uploading data on behalf of a third party or organisation, you warrant that you have the necessary authority and consents to do so.

We implement appropriate technical and organisational measures to protect your data, in accordance with our obligations under UK GDPR and the Data Protection Act 2018.

Section 09

Confidentiality

Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed in connection with the use of the Platform. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

ConstructEther will not disclose your Client Data to third parties except as required to deliver the Services, comply with legal obligations, or as described in the Privacy Policy.

Section 10

Disclaimers

The Platform is provided "as is" and "as available." While we strive for accuracy and reliability, we make no warranties, express or implied, regarding:

  • The accuracy, completeness, or fitness for purpose of any AI Output
  • Uninterrupted or error-free access to the Platform
  • The suitability of the Platform for any specific project, contract, or commercial outcome

Users are solely responsible for verifying all outputs and making independent professional judgements before acting on any information generated by the Platform.

Section 11

Limitation of liability

To the fullest extent permitted by law, ConstructEther shall not be liable for any indirect, consequential, incidental, or special loss arising from or in connection with the use of the Platform, including but not limited to loss of profit, loss of contract, or loss of data.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Our total aggregate liability to you in any 12-month period shall not exceed the total fees paid by you to ConstructEther during that period.

Section 12

Termination

Either party may terminate this Agreement by providing written notice in accordance with the subscription terms. We reserve the right to suspend or terminate access immediately where:

  • A material breach of these Terms has occurred and has not been remedied within 14 days of written notice
  • There is evidence of fraudulent, unlawful, or abusive use of the Platform
  • Payment obligations have not been met

Upon termination, your right to access the Platform ceases immediately. Provisions relating to intellectual property, confidentiality, disclaimers, and limitation of liability shall survive termination.

Section 13

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Where a dispute arises, both parties agree to first attempt resolution through good faith negotiation before initiating formal proceedings.

We reserve the right to update these Terms at any time. Updates will be posted on this page with a revised "Last updated" date. Continued use of the Platform following any update constitutes acceptance of the revised Terms.
